Terms of Service

1. Agreement to these Terms
These Terms of Service govern your access to and use of Q².iT, including the Q².iT website, software, applications and related services.
By creating an account, purchasing a subscription or using Q².iT, you agree to these Terms and to the Q².iT Privacy Policy. If you do not agree, do not use the service.
2. Business-use service
Q².iT is designed as a business tool for contractors and other commercial users. You are responsible for determining whether the service is appropriate for your business, jurisdiction, trade and intended use.
You must have the legal authority to enter into these Terms and to provide any business or customer information that you enter into Q².iT.
3. Accounts and account security
You are responsible for the accuracy of your account information and for keeping your login credentials secure. You are responsible for activity that occurs through your account, except to the extent caused by Q².iT.
You must notify Q².iT promptly if you believe your account has been accessed or used without authorization.
4. Plans, subscriptions and billing
Q².iT may offer Free, Basic, Plus or other plans with different features, limits and pricing. Plan features and pricing may be changed from time to time.
Paid subscriptions may be billed monthly or annually through a third-party payment processor such as Stripe. By starting a paid subscription, you authorize recurring charges for the selected plan and billing interval until the subscription is cancelled or otherwise ends.
Applicable taxes may be added where required. You are responsible for maintaining accurate billing information and for any charges properly incurred through your account.
5. Cancellation and plan changes
You may manage or cancel an eligible paid subscription through the billing tools made available by Q².iT or its payment provider. Unless otherwise stated at the time of purchase, a cancellation takes effect at the end of the current paid billing period.
Fees already paid are generally non-refundable except where a refund is required by applicable law or expressly offered by Q².iT.
If you upgrade or change plans, billing adjustments may be handled by the payment provider based on the subscription configuration in effect at that time.
6. Estimating and calculation disclaimer
Q².iT is an estimating and business-management tool. Material quantities, labour hours, project costs, taxes, margins, profits, prices, takeoffs and other calculations generated by Q².iT are estimates based on the information, assumptions, settings and pricing available to the service.
You are solely responsible for reviewing and verifying all quantities, measurements, labour assumptions, pricing, taxes, codes, permit requirements, specifications and other project information before issuing a quote, ordering materials, beginning work or entering into a contract.
Q².iT does not provide engineering, architectural, legal, accounting, tax, building-code or trade-professional advice.
7. Material and supplier pricing
Material prices, supplier comparisons, localized pricing and live-pricing information shown in Q².iT are provided for estimating convenience only.
Supplier prices, stock, product availability, taxes, delivery costs, promotions, fees and product specifications can change without notice and may differ by location or purchasing account.
You are responsible for confirming the actual price, availability and suitability of materials directly with the supplier before purchasing or committing to a customer price. Q².iT does not guarantee third-party supplier pricing or inventory.
8. Quotes, contracts and customer relationships
Q².iT may help you prepare and deliver estimates, quotes, change orders, invoices, receipts and other documents. Q².iT is not a party to the agreement between you and your customer.
You are responsible for the content and enforceability of your customer agreements, for obtaining any required approvals or signatures, and for complying with consumer-protection, licensing, tax, construction, lien, permit and other laws that apply to your work.
A customer's electronic acceptance or other action through Q².iT is recorded as a workflow event, but you remain responsible for determining the legal effect of that action in your jurisdiction and for your particular contract.
9. Invoices, payments and receipts
Q².iT may allow you to create invoices, record payments and issue receipts. Unless Q².iT expressly offers a separate payment-processing product, these features are business-record tools and do not make Q².iT the seller, contractor, merchant of record, escrow provider or collection agent for your customer transactions.
You are responsible for the accuracy of invoices, payment records, taxes, balances, refunds and receipts that you create or record through Q².iT.
10. Your content and data
You retain your rights in business information, customer data, project information, logos, documents and other content that you submit to Q².iT.
You grant Q².iT a limited right to host, process, copy, transmit and display that content only as reasonably necessary to provide, secure, maintain and improve the service and to carry out actions that you request.
You are responsible for ensuring that your content is lawful and that you have the rights and permissions required to use and provide it.
11. Acceptable use
You may not use Q².iT to violate the law, infringe the rights of others, distribute malicious code, interfere with service operation, gain unauthorized access to systems or accounts, send unlawful or abusive communications, or attempt to defeat security or plan-access controls.
You may not reverse engineer, scrape, copy or commercially exploit Q².iT except as permitted by law or with written permission from Q².iT.
12. Q².iT intellectual property
Q².iT and its software, interfaces, branding, designs, documentation, workflows and related intellectual property are owned by or licensed to Q².iT. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you.
13. Third-party services
Q².iT may rely on or link to third-party services, including hosting, database, authentication, payment, email and supplier services. Those services may be subject to their own terms, privacy policies, availability and technical limitations.
Q².iT is not responsible for third-party products or services that are outside Q².iT's reasonable control.
14. Service availability and changes
We aim to provide a reliable service, but Q².iT is not guaranteed to be uninterrupted, error-free or continuously available. Maintenance, outages, internet failures, supplier changes, third-party failures and other events may affect the service.
Q².iT may add, modify or discontinue features where reasonably necessary to operate or improve the product. Where practical, we will try to avoid material disruption to paid users.
15. Backups and business records
Although Q².iT may maintain backups and recovery systems, you should keep copies of important business, tax, accounting, contract and customer records where appropriate for your business and legal obligations.
16. Disclaimer of warranties
To the maximum extent permitted by applicable law, Q².iT is provided on an "as is" and "as available" basis. Q².iT does not warrant that calculations, supplier information, estimated costs, profits, margins, quantities, documents or other outputs will always be complete, accurate or suitable for a particular project.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
17. Limitation of liability
To the maximum extent permitted by law, Q².iT will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of data, material-ordering errors, underquoting, overquoting or project losses arising from or related to use of the service.
To the maximum extent permitted by law, Q².iT's aggregate liability arising out of or relating to the service will not exceed the greater of the fees you paid to Q².iT during the three months immediately preceding the event giving rise to the claim or CAD $100.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
18. Indemnity
To the extent permitted by law, you agree to indemnify and hold Q².iT harmless from third-party claims, losses, liabilities and reasonable costs arising from your unlawful use of the service, your customer contracts, your work or services, your content, or your violation of these Terms or the rights of another person.
19. Suspension and termination
Q².iT may suspend or terminate access where reasonably necessary because of non-payment, material breach of these Terms, unlawful activity, security risk, abuse of the service or conduct that could materially harm Q².iT, its users or third parties.
You may stop using Q².iT at any time. Ending use of the service does not eliminate amounts already owed or obligations that by their nature should survive termination.
20. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles.
Subject to any rights that cannot legally be waived, disputes relating to these Terms or Q².iT will be brought before the courts of Alberta, Canada.
21. Changes to these Terms
Q².iT may update these Terms from time to time. If a change is material, we may provide notice through the service or another reasonable method. Continued use of Q².iT after updated Terms take effect constitutes acceptance of the revised Terms, subject to applicable law.
22. General
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. A failure by Q².iT to enforce a provision is not a waiver of that provision. These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, form the agreement governing your use of Q².iT.

These Terms are intended as practical terms for the Q².iT service. They are not a substitute for legal advice, and a legal review is recommended before a broad public launch.
